Vice President – Governance, Risk

For our client, we are looking for a
Vice President – Governance, Risk & Compliance (GRC)
who will be responsible for building, leading, and institutionalizing a strong GRC function within the newly established Company operating in a rapidly evolving market. This role is critical in defining the company's risk management strategy, governance practices, and compliance framework in alignment with the risk appetite of the Board and CEO. The VP will develop and implement the necessary policies, systems, and reporting mechanisms to ensure the Company operates with integrity, accountability, and in full compliance with applicable laws and standards.
Responsibilities:
• Establish and formalize corporate governance policies and practices aligned with international standards and the expectations of the Board.
• Define structures for decision-making, delegation of authority, internal controls, and reporting accountability.
• Support the Board and its committees in fulfilling their governance responsibilities, including preparation of charters, agendas, and board packs.
• Work with the Business Support management team to promote a culture of ethical leadership and sound
corporate behavior throughout the organization.
• Define and implement an Enterprise Risk Management (ERM) framework suited to the Company's size, stage, and strategic objectives.
• Engage with the CEO and Board to assess and periodically review the Company's risk appetite and tolerance thresholds.
• Identify, assess, and monitor strategic, operational, financial, legal, and reputational risks across the organization.
• Develop risk mitigation plans and embed risk awareness into business planning and operational decision making.
• Ensure that the Company maintains appropriate insurance coverage across all areas of risk, including but notlimited to property, construction, liability, directors and officers (D&O) and business interruption.
• Identify insurable risks in consultation with relevant departments (e.g., Projects, Legal, HR) and define required coverage levels based on industry standards and operational exposure.
• Manage relationships with insurance brokers and providers to secure competitive and comprehensive insurance programs.
• Oversee policy renewals, endorsements, and claims processes, ensuring timely submission, documentation, and resolution.
• Regularly review and assess adequacy of coverage in light of evolving business operations and market
conditions.
• Develop the company's compliance framework to ensure alignment with national regulations, international standards, and internal policies.
• Oversee implementation of compliance controls, staff training, and monitoring processes.
• Maintain a compliance register and ensure timely reporting to regulators and internal stakeholders.
• Serve as the main point of contact with regulatory authorities and ensure proactive engagement on evolving requirements in Benghazi and Libya as a whole.
• Work closely with internal stakeholders to define, document, and implement policies and procedures that
safeguard the company's operations.
• Ensure business continuity plans and crisis management frameworks are established and tested.
• Monitor compliance with internal controls and escalate breaches or deviations as appropriate.
• Develop dashboards and reporting tools for regular communication of risk and compliance metrics to the CEO and Board.
• Ensure transparency in GRC matters and support data-driven decision-making.
• Promote awareness and training across the organization to embed GRC culture into daily operations.
Requirements:
• Bachelor's degree in Law, Finance, Risk Management, or a related field; advanced degree or professional
certifications (e.g., CRMA, CCEP, CIA, CIRM) preferred.
• Minimum 12 years of progressive experience in governance, risk management, or compliance functions,
preferably in real estate or infrastructure sectors.
• Strong knowledge of regulatory frameworks, corporate governance standards, and ERM methodologies.
• Experience working in or with early-stage companies or transitional markets is a strong advantage.
• Excellent interpersonal, analytical, and strategic thinking skills.
• Fluency in English.
• Strategic risk thinking and policy design.
• Strong ethical judgment and integrity.
• Board and executive-level stakeholder engagement.
• Program and change management.
• Regulatory insight and analytical rigor.
