We are pleased to announce an open position for a
General Counsel
, a key member of the executive leadership team, responsible not only for managing the legal affairs of the Company, but also for playing a strategic role in shaping the legal and regulatory landscape in Benghazi, as the city undergoes major transformation. This role requires a proactive and visionary legal professional who can guide the company through complex land acquisition processes, property transactions involving foreign nationals, and other pioneering activities. The General Counsel will also serve as a trusted advisor to the Board and senior management while acting as a liaison with city and national authorities to help define legal frameworks supportive of urban and economic development.
Responsibilities:
• Lead all legal matters related to the Company's business including corporate law, real estate transactions,
contracts, employment, and regulatory compliance.
• Serve as the principal legal advisor to the CEO, Board of Directors, and senior management on strategic
decisions and operational matters.
• Establish and manage the internal legal department, including selection and oversight of external counsel when needed.
• Lead the development and maintenance of a comprehensive library of standard contracts and legal instruments to ensure that the Company's interests are protected in all dealings with external parties, including consultants, contractors, buyers, partners, and government entities.
• Draft, review, and negotiate all key commercial agreements, development contracts, joint ventures, and land acquisition deals.
• Work closely with municipal and national authorities to support the development of forward-looking regulations relevant to real estate, investment, land use, and urban transformation.
• Represent the Company in legal discussions with public institutions, regulatory bodies, and city development agencies.
• Advocate for policies and legal reforms that support the sustainable growth of Benghazi and the real estate sector more broadly.
• Provide leadership in structuring transactions that are legally sound in areas with evolving or nascent legal frameworks.
• Ensure all land acquisition, property development, and title registration activities are legally compliant and based on clear due diligence.
• Address legal considerations related to selling or leasing properties to local and foreign nationals, ensuring compliance with national laws and international best practices.
• Support the formulation of secure legal models for off-plan sales, escrow structures, and investor protections.
• Identify legal risks across all areas of the business and implement measures to mitigate them.
• Ensure compliance with anti-corruption, anti-money laundering, and other key statutory requirements.
• Support the Governance, Risk, and Compliance (GRC) function in developing a transparent and accountable operating environment.
• Act as the Company's legal spokesperson in external forums, including government consultations, policy
roundtables, and investment promotion events.
• Engage with international legal bodies, real estate regulators, and legal reform committees where appropriate.
• Support strategic partnerships and investor relations by ensuring legal transparency and confidence.
• Build and lead a high-caliber legal team capable of supporting a complex, fast-growing business.
• Mentor internal legal staff and ensure continuous professional development.
• Promote a culture of ethics, legal awareness, and integrity across the organization.
Qualifications:
• Law degree from a reputable institution; LLM or equivalent preferred.
• Minimum 15 years of progressive legal experience, with at least 5 years in a senior in-house or leadership
role.
• Significant experience in real estate, urban development, and regulatory law.
• Demonstrated experience working with public authorities or in transitional legal environments.
• Strong negotiation, communication, and stakeholder engagement skills.
• Fluent in English.
• Strategic legal thinking in complex and evolving environments.
• Policy influence and public regulatory engagement.
• Real estate and investment law expertise.
• Governance and risk management acumen.
• Leadership and ethical judgment.
